Terms of Service

These terms apply to the OpenTerm desktop app (“the app”) and this website (“the site”), published by Anatema (“we”, “us”). By downloading, installing or using either, you agree to them. If you do not agree, do not use them.
1. License
The app’s source code is licensed under the Elastic License 2.0 (ELv2). Bundled third-party components keep their own licenses. If these terms and the ELv2 conflict on use of the source code, the ELv2 wins. Under the ELv2 you may not provide the app to others as a hosted or managed service, remove or obscure licensing or copyright notices, or circumvent license-key functionality.
2. Eligibility
You must be at least 16, or the age of digital consent where you live. If you use the app on behalf of an organization, you confirm you are authorized to accept these terms for it.
3. Your responsibility
OpenTerm is a terminal. It runs the commands you enter and the AI agents you launch, with your user permissions, on your machine. You are solely responsible for:
- every command, script and agent you run, and what they change, delete or send;
- reviewing and approving actions taken by AI agents before and after they run;
- backing up your code and data;
- keeping your API keys, tokens and credentials secure.
4. Third-party tools and services
The app works with third-party software and services, including Claude Code, Codex, Gemini, OpenCode, Aider, OpenRouter, GitHub, npm and PyPI. We are not affiliated with, endorsed by or responsible for any of them. Your use of them is governed by their own terms and privacy policies, and any fees, rate limits, account actions or output they produce are between you and that provider. All product names and trademarks belong to their owners.
5. Acceptable use
You may not use the app or site to:
- break any law or infringe anyone’s rights;
- access systems or data you are not authorized to access;
- distribute malware, including modified builds presented as official OpenTerm releases;
- attack, overload or scrape the site or our GitHub repository.
6. Updates and availability
The app can check for, download and install signed updates. We may change, suspend or discontinue any feature, release or the site at any time, without notice or liability. Builds you compile yourself are unsigned and unsupported.
7. Name and logo
“OpenTerm” and its logo identify our official releases. Forks and redistributions must not use them in a way that suggests they are official or endorsed by us.
8. Feedback and contributions
Contributions (code, issues, suggestions) you submit to our repository must be your own work or properly licensed. By submitting one, you grant Anatema a perpetual, worldwide, royalty-free, irrevocable license to use, modify, sublicense and distribute it as part of OpenTerm under any license.
9. No warranty
The app and site are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that they will be error-free, secure or uninterrupted.
10. Limitation of liability
To the maximum extent permitted by law, Anatema and its contributors are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, code, profits, revenue, business or credentials, or for costs charged by third-party services, arising from your use of or inability to use the app or site — including actions taken by commands or AI agents run in it — even if advised of the possibility. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or EUR 50.
Nothing in these terms limits liability that cannot be limited by law, such as for gross negligence, intent, or death or personal injury caused by negligence, or removes mandatory rights you have as a consumer.
11. Indemnity
You agree to defend and hold Anatema harmless from claims, damages and costs (including reasonable legal fees) arising from your misuse of the app or site, your violation of these terms, or your violation of anyone else’s rights.
12. Export and sanctions
You may not use or export the app in violation of applicable export control or sanctions laws, including those of the EU, UK and US.
13. Termination
Your right to use the app and site ends automatically if you breach these terms. Sections 3, 4 and 8–14 survive termination.
14. Governing law
These terms are governed by the laws of Romania, excluding its conflict-of-law rules. Disputes go to the competent courts of Romania, except where consumer law gives you the right to bring proceedings in your own country.
15. General
These terms and our Privacy Policy are the entire agreement between you and us about the app and site. If any part is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver. You may not transfer these terms; we may transfer them to a successor. We may update these terms; the date at the top shows the latest version, and continuing to use the app or site after a change means you accept it.
